Jarrod’s practice focuses on private fund formation, investment management, regulatory compliance and corporate governance. He regularly advises fund managers and investment advisers with respect to the structuring, formation and operation of private funds and other investment advisory relationships, as well as the structuring of related upper-tier management entities.

Jarrod has represented clients ranging in size and experience, from start-up exempt reporting advisers with a few million dollars under management to multi-billion dollar registered investment advisers, with investment strategies involving a wide spectrum of asset classes, including public and private equity, real estate, venture, secondary investments, oil and gas, credit and digital assets.

Jarrod takes a full-service approach when assisting clients with fund structuring, formation and operations throughout the life of a fund, including the preparation of private offering documentation, investor negotiations and relations, fundraising and marketing. Jarrod has experience with a variety of liquid, illiquid and hybrid fund structures, as well as master-feeder and parallel funds organized in the United States and abroad. In addition to providing counsel with respect to securities, investment adviser, investment company, broker-dealer and other regulatory matters, Jarrod works closely with other members of Winstead’s multidisciplinary Investment Management & Private Funds Industry Group to provide clients with efficient and streamlined service on all matters affecting their businesses, including structuring and tax issues, employment and compensation issues for fund managers and staff, ERISA concerns, acquisition and disposition of fund investments and more.

Jarrod’s experience representing fund managers and other investment advisers complements his representation of investors with respect to their alternative asset investments, including in the review and negotiation of investment advisory agreements, limited partnership agreements and subscription agreements, as well as drafting side letters.

Jarrod and his wife reside in Fort Worth.

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
