Luis Murguia advises private equity funds, pension funds, family offices, developers, and other investors navigating the complexities of the real estate industry. He brings a wealth of experience, guiding clients through a comprehensive spectrum of corporate real estate transactions.

Luis focuses on complex transactions within the real estate industry, including joint ventures and platform formations, acquisitions and dispositions, portfolio transactions, and debt and equity financing. His experience extends beyond domestic borders and he is adept at navigating the nuances of cross-border transactions, facilitating deals throughout the United States, Latin America and Europe.

Before joining Winstead, Luis was a senior associate in the New York office of an international law firm.  Prior to that, he was an associate at a leading law firm based in Mexico City.

Representative Experience

Joint Ventures

  • Acted as counsel to one of Canada’s largest pension investment managers in the restructuring of its manufactured housing ownership and management business valued at approximately US$4 billion that operates in the U.S., Canada and the United Kingdom, which is organized through eight separate joint venture structures. (2024)
  • Represented one of the world’s largest investment banks in a joint venture that was formed to acquire and manage data centers located in Oregon and the related acquisition of a portfolio valued at approximately $510 million. (2023)
  • Advised a U.S. merchant bank in two programmatic joint ventures (with approximately US$500 million and US$1 billion in total capital commitments, respectively) that were formed to invest in loans secured by real estate located in the United States. (2023 and 2022)
  • Acted as counsel to a NYSE-listed REIT in a single-asset joint venture that was formed to develop a 266,000-square-foot, full-scale film, television and media production studio and public open space in New York. (2023)
  • Represented a Canadian real estate investment and asset management firm in a programmatic joint venture (approximately £259.5 million in total capital commitments) that was formed to acquire and manage build-to-rent multi-family residential properties located in the United Kingdom. (2022)
  • Advised a Canadian real estate investment and asset management firm in two programmatic joint ventures (with approximately US$420 million and US$685 million in total capital commitments, respectively) that were formed to acquire and manage Class A multi-family residential properties located in the southern United States. (2021 and 2017)
  • Acted as counsel to a U.S. real estate management company in various single-asset joint ventures that were formed to acquire, develop and manage senior living communities in the United States. (2017-2022)

Acquisitions and Dispositions

  • Represented one of the world’s largest alternative asset managers in the sale of a portfolio of manufactured housing communities located throughout the United States valued at approximately US$644 million. (2023)
  • Advised one of Canada’s largest pension investment managers in the US$700 million sale of a group of companies focused on acquiring, developing, leasing and managing industrial properties located throughout Mexico. (2023)
  • Acted as counsel to a leading U.S. private equity firm in the US$120 million sale of a controlling interest in a group of companies focused in the cultivation of sugarcane and the production and sale of ethanol in Brazil. (2023)
  • Represented one of the world’s largest alternative asset managers in the sale of a portfolio of storage units located throughout the United States valued at approximately US$1.325 billion. (2018)
  • Advised a leading U.S. private equity firm in the R$110 million acquisition of an online loan origination platform in Brazil. (2018)
  • Acted as counsel to a U.S. multi-family programmatic joint venture in the US$239.6 million staged acquisition of four properties totaling 1,493 Class A institutional quality multi-family residential units located in the southern United States. (2017)

  • Represented a U.S. single-asset joint venture in its recapitalization in connection with the development of a luxury hotel located in Florida. (2023)
  • Advised a Canadian family office in two loan facilities (US$175 million and US$135 million, respectively) secured by two mixed-use buildings located in Mexico. (2022)
  • Acted as counsel to a Texas-based privately-owned real estate investment and development firm in connection with the establishment of its employee participation vehicles in relation to various real estate joint venture investments. (2022)
  • Represented a U.S. programmatic joint venture in its various management arrangements in connection with the development, management and operation of marinas throughout the United States. (2022)
  • Advised one of Canada’s largest pension investment managers in a syndicated loan facility of approximately US$314 million secured by a portfolio of 57 Class A industrial buildings located in Mexico. (2019)
  • Acted as counsel to a leading U.S. private equity firm in a US$250 million investment secured by debentures in a group of companies focused in the cultivation of sugarcane and the production and sale of ethanol in Brazil, the related insolvency restructuring and the subsequent US$120 million sale of a controlling interest in such group of companies. (2017-2023)
  • Represented a U.S. private equity firm in the restructuring and recapitalization of a joint venture in connection with the redevelopment of an iconic hotel located in New York. (2016)

Operators
