Jason Cramer is a member of Winstead’s Corporate, Securities/Mergers & Acquisitions Practice Group. He represents both public and private companies in matters relating to securities regulation, corporate finance and governance, mergers and acquisitions and other commercial transactions. Jason also assists oilfield services companies in drafting and negotiating master service agreements.

Securities and Corporate Finance Representation

  • Represented a NASDAQ-listed biotechnology company in connection with an “at the market” public offering of up to $25 million of its common stock
  • Represented a NASDAQ-listed biotechnology company in connection with a registered direct offering of $10 million of common stock and warrants
  • Represented a NASDAQ-listed biotechnology company in connection with a universal shelf registration statement of up to $125 million in common stock, preferred stock and warrants
  • Represented purchasers in a PIPE (private investment in public equity) transaction for the purchase of $9.5 million of convertible preferred units of a NASDAQ-listed energy company
  • Represents public companies in their compliance and reporting obligations under the Securities Exchange Act of 1934
  • Represents public and private companies in connection with private placements of securities under Regulation D of the Securities Act of 1933 and related state blue sky compliance
  • Advises corporate insiders under Section 16 of the Securities Exchange Act of 1934 on complex compliance matters
  • Advises issuers and stockholders regarding compliance with sales of securities pursuant to Rule 144 promulgated under the Securities Act of 1933
  • Advises beneficial owners in connection with compliance and reporting obligations under Sections 13(d) and 13(g) of the Securities Exchange Act of 1934

Mergers & Acquisitions; General Corporate and Commercial Representation

  • Represented a private survey services company in the sale of all of its outstanding capital stock for $230 million to a NYSE-listed engineering and applied technology company
  • Represented an international hospitality management company in connection with a "merger of equals" with a private equity-backed hospitality management company
  • Represented an international environmental services company in connection with a domestic joint venture with a privately-held energy services company
  • Represented an international oil and gas equipment supplier in the purchase of all of the assets of a division of a privately-held equipment distributor
  • Represented a professional accounting practice in the sale of its practice to a regional professional accounting firm
  • Advises clients on business entity formation, statutory conversions, state corporation laws and various commercial transactions

Search Tips:

You may use the wildcard symbol (*) as a root expander.  A search for "anti*" will find not only "anti", but also "anti-trust", "antique", etc.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
