Dana Nguyen focuses on representing partnerships, limited liability companies, and corporations throughout various stages of their business lifecycle, including entity formation, capital raising, corporate governance, restructuring, securities, and mergers and acquisitions. She has experience drafting a wide range of legal documents, including corporate organizational and governance documents, stock purchase agreements, asset purchase agreements, private placement memorandums, subscription agreements, and ancillary transaction documents. Dana is also well-versed in SEC compliance matters, including the preparation of Form D filings. 

Representative Experience

  • Conducted due diligence and coordinated closing logistics for merger and acquisition transactions.
  • Prepared initial drafts of purchase agreements and ancillary documents, including disclosure schedules, on transactions of various sizes up to $250 million.
  • Prepared initial drafts of documents for corporate restructuring, including conversions, mergers and terminations.
  • Assisted in issuing securities, including Regulation D offerings, and the related Blue Sky state requirements.
  • Assisted clients with the formation, structuring, and governance of EB-5 funds.
  • Assisted in private offering transactions, including SAFE and convertible note financing.

Entering two terms together in a search field will behave as though an "OR" is being used.  For example, entering "Antique Motorcars" as a Client Name search will find results with either word in the Client Name.

Operators

AND and OR may be used in a search.  Note: they must be capitalized, e.g., "Project AND Finance." 

The + and - sign operators may be used.  The + sign indicates that the term immediately following is required, while the - sign indicates to omit results that contain that term. E.g., "+real -estate" says results must have "real" but not "estate".

To perform an exact phrase search, surround your search phrase with quotation marks.  For example, "Project Finance".

Searches are not case sensitive.
